Selected Biographies
C. Rand Michaels
Chairman of the Board

Mr. Michaels is a seasoned executive with extensive experience in general management, sales, marketing, entrepreneurial start up and finance. He has founded and helped to build two successful companies, worked in both the public and private sectors and raised hundreds of millions of dollars. He has considerable experience in investor relations, both in NASDAQ and NYSE-sized companies. He has been involved in numerous “road shows” for stock and debt offerings. He is highly accomplished in managing acquisitions, mergers and divestitures, having played an instrumental role in over 60 acquisitions. Michaels was elected to the Board in September 2007 and plays an active and valuable role in the growth and development of Invizeon and mentoring of the executive team.

Leo A. Giacometto
Outside Director

Leo A. Giacometto, Founder and CEO of GAGE, www.gage.cc was appointed to both the Invizeon and IAM Solutions Ltd, boards in January 2012. Leo and GAGE is an shareholder and member Invizeon´s Integrated Advanced Mission Solutions Ltd, Consortium Alliance, (iamsolutions-ltd.com). Gage is a specialty firm focused on project development, providing strategic advice, targeted sales, energy transactions, analysis of current legislative activities, business development, lobbying and creative business-oriented solutions internationally. GAGE provides over 200 years of combined experience in private industry, public service, and military service.

Mr. Gaiacometto has a broad background of military, political, private and public sector service. Giacometto brings a wide-range of applicable experience to GAGE in the areas of founding, strategically building, operating and managing private sector companies. He has served in all branches of the Government, the Judiciary, Legislative, and Executive branches. Giacometto as well has served in appointed and elected positions in County Government, State Government and Federal Government. He has overseen large government agencies and directed the operations of Congressional and Gubernatorial offices in both an official and political capacity.

Giacometto has previously served as a County Magistrate, State Legislator, and was confirmed by the United State Senate as a United States Marshal. Giacometto has also held Cabinet positions for two Governors: Secretary of Agriculture and a member of the Northwest Power Planning Council as well as the Chief of Staff to a United States Senator.

In addition, Giacometto is a former Director of the Tri-State Farmers and Ranchers Cooperative in South Dakota, as the Vice President of Government Affairs of Morrison Knudsen, and an Executive for Washington International both international engineering and construction companies. Giacometto served 23 years in the United States Army and Reserves, retiring at the rank of Lieutenant Colonel. He was stationed in Panama as a member of U.S. Army´s equivalent to a SWAT Team and later served in the State Department´s Counterterrorism Section, where he was deployed around the world. He is a graduate of the United States Army Military Police Academy and an honor graduate of the Montana Military Academy.

Giacometto is the Founder and CEO of Mongolia Forward, a uranium mining project based in Mongolia. He is the Co-founder of the Pepsi franchise in Mongolia and serves on the Board of Directors for Gemnet, a Eurasian telecommunications company based in Ulaanbaatar. He is on the Board of Advisors of Silk Way Holding, a multinational aviation services company based in Baku, Azerbaijan. He serves as a Senior Advisor to Expedia, Inc., the largest online travel company in the world.

Giacometto also owns a seventh generation ranching operation in Alzada, Montana.

Lawrence E. Selmer
Outside Director

Mr. Selmer has served as an advisor to several early-stage companies while in California and Washington D.C. He has served as an advisor to Invizeon since early 2005 and was elected to the Board in September 2007.

He earned a B.S. in Aeronautical Engineering from St. Louis University and entered the aerospace industry with the Boeing Company in 1965. Shortly thereafter, Selmer joined Rockwell International and after 18 years in various engineering positions within the structural dynamics discipline Selmer obtained an MBA in 1983 from Pepperdine University. Selmer refocused from engineering to business development and R&D technology program management. After serving for over 10 years managing various technology development programs and strategy development assignments, he led international growth and strategic planning for Information and Communication Systems, a new business unit created with the acquisition of Rockwell’s defense business. He then led a Boeing program for technology acquisition through investments in venture capital companies, through a new R&D unit of Boeing, where he also developed an integrated technology planning process incorporating the entire company, including acquisitions of Rockwell, McDonnell Douglas and Hughes Satellite.

After the tragedy on September 11, 2001, Selmer initiated and led an integrated program team within Boeing to develop and manage new systems programs related to Homeland Security. At the end of 2003, Larry took early retirement from The Boeing Company and joined BAE Systems North America to expand his Homeland Security business development efforts closer to the action in Washington, D.C. At the end of 2006, he retired from the aerospace industry and presently resides in Tucson, Arizona, advising start-up companies and mentoring creative individuals on the path of true success.

David L. Stone
Outside Director

Mr. Stone is founder of Lofthouse Foods, a major supplier of gourmet cookies to grocery stores, mass merchandisers and club stores. Stone started Lofthouse in 1995, building it to 500 employees and $75 million in sales. He sold the company in 2002. He currently is on the Board of Directors for TechniScan, a medical device company. He sits on the Executive Board of The Trapper Trails Council of the Boy Scouts of America and is founder and Director of The Lofthouse Foundation, an organization which supports efforts to aid Bolivia's underprivileged, advances education in the Philippines and provides educational scholarships in the United States.

David J. Todd
President, Chief Executive Officer and Director

Mr. Todd is the company’s founder. In 2000 Todd completed the initial market research and led the development of the technology platform and market strategy that launched Invizeon, his third start-up over a span of 20 years. Todd subsequently served as the Company’s Executive VP of Marketing and Strategic Development.

In July 2000, Todd was assigned the role of President and CEO, where his focus was to expand and strengthen the management team, fine tune the strategic plan and product line and oversee the product development and product launch. Technology concepts originated by Todd include the CHAIN™ platform. Todd was also responsible for developing strategic partnerships and securing the Company’s angel and Series A funding. In April 2004 he was appointed President and Chief Marketing and Product Development Officer. In this position Todd succeeded in directing the CHAIN development over 5 version releases and in building strategic partnerships and early adaptor CHAIN customers.

In August 2007 at the request and with support of the full Board of Directors Todd again assumed the responsibilities of the CEO position. He continued his commitment to the success of Invizeon and its shareholders by; signing key technology and sales partnerships with global 100 firms as well as innovative emerging stars, and securing the Company’s Series B funding. Todd has worked closely with Mr. Oyeleke, SVP of Global Sales and Solution Development to execute his initiative of developing the global markets spending considerable time in key global markets developing local partnerships, clients and business models. Todd also brings the vision and directives for the new major release of the new Sphere>Points Platform, including the Sensor>Point and Sphere>Mobile product lines.

Prior to founding Invizeon, Mr. Todd was the founder and President of WestStar Inc., a technologically innovative publishing, database and web application firm for the legal and medical markets. Mr. Todd was also the founding partner of Advanced Image Marketing. LLP, a public relations and consulting firm for non-profit organizations. Todd is also an accomplished artist and photographer. His work has been displayed in the White House and he has sold over $4 million of his prints. At the age of 16, his Research Essay “The Ascent of Photography” was published by the University of Toledo Fine Arts Library.

Michael W. Haight
Chief Financial Officer

Before joining the Company in 2001, Mr. Haight spent 19 years with Washington Corporations whose business activities ranged from manufacturing, mining and construction, to truck, rail and marine transportation services. Haight served as President from 1998 to 2001 with oversight responsibilities of an international conglomerate of 4,000 employees, $750 million in annual revenue and $1 billion in assets. Prior to that, he served as VP-Accounting and Controller. He is a CPA and started his accounting career with KPMG. He earned a B.S. in Accounting from the University of Montana in 1980. Haight oversees the financial and administrative activities of the Company and serves as its Treasurer.

Israel A. Oyeleke
Senior Vice President, Global Sales and Solution Development

Mr. Oyeleke has been working in data, voice, video, satellite integration and networking for over 25 years and was a founder, visionary and technology evangelist in several global companies. From 1983 to 1989, Israel Oyeleke founded and was CEO of Rhea Computer Systems, a systems integration company in Los Angeles which was one of the national integration partners of Novell, the then global networking leader. Rhea marketed to blue chip companies like Allied Signal (Garrett), Rockwell, Northrop, Sanwa Bank and Lloyds Bank among others. He was Guest Lecturer at Allied Signal Corporation and Golden Gate University teaching Fortune 100 IT staff various segments of the IBM Systems Network Architecture and Wide Area Networking. He designed and installed networking equipment from the very earliest leader Corvus Constellation thru Novell and designed a TCP/IP over Token Ring for the UCLA Administration department under a grant of $20 million from IBM. In trying to be of service to his native Africa, Oyeleke and his US partners formed Cannon InfoSystems Limited, Venus Resources Limited and Broadband Technologies Limited in Africa to provide broadband satellite services to Sub-Saharan Africa with a teleport in Manassas, Virginia capable of delivering broadband internet to all of Sub-Saharan Africa. With partnerships with the biggest names in satellite, IntelSat, NewsKies, Comsat Labs and Lockheed Martin Global Telecommunication Inc, these companies provided integrated communications services to sixteen banks, five oil companies, several universities and large mobile telecom companies. Oyeleke’s expertise covers matters of integration from the perspective of data providers, telephony providers and television providers. He bootstrapped Broadband Technologies Limited to $15 million in revenue for three consecutive years while at the company from 1997 to 2004. He is a systems architect and programmer fluent in Ruby & Rails, Oracle PL/SQL and Microsoft SQL and .NET technologies. He earned a Bachelors of Science in Chemical Engineering at UCLA in 1980 and did graduate studies in Energy Resources Engineering at the University of Southern California.

David C. Skilling
Executive Vice President, Client Services Group

Mr. Skilling is a co-founder of Invizeon and has been an executive manager since 2000. He served as a company director in 2002. Mr. Skilling currently directs the Client Services Group and is responsible for all deployments, system implementation, training, and support activities of the Company. He also oversees the continuing development of the software. Mr. Skilling was the general manager at WestStar from 1997 to 2000. Prior to 1997 Mr. Skilling was operations manager for a multi-state corporation and owned and operated a management consulting practice specializing in organizational development and technology solutions for a wide variety of industries. Mr. Skilling has worked in sales management, project management and customer service throughout his career. He holds a B.S. (1976) and an MBA degree (1981) from the University of Montana.
